These Terms of Service (the “Terms”) govern your access to and use of RocketFeed (the “Service”), a hosted software service provided by Acode LLC (“Acode”, “we”, “us” or “our”). By subscribing to, accessing or using the Service, you (“you” or the “Customer”) agree to these Terms. If you are entering into these Terms on behalf of a company, you represent that you have authority to bind that company.
The Service is operated by Acode LLC, a company registered in the Republic of Armenia. Our details:
RocketFeed is a hosted service that connects to your Shopify or Shopify Plus store and generates, hosts and manages product data feeds for Google Merchant Center, Google Shopping, Performance Max and Dynamic Search Ads, together with related enrichment, scheduling, labelling and reporting features. The specific features available to you depend on your subscription tier (Basic, Plus or Pro) as described on our Pricing page.
We may add, change, or discontinue features from time to time. We will not make changes that materially reduce the core functionality of your paid tier without notice.
You must be at least 18 years old and operate a legitimate business to use the Service. You are responsible for maintaining the confidentiality of your account credentials and for all activity under your account. Notify us promptly of any unauthorised use.
The Service is offered on a monthly subscription. Prices are shown on our Pricing page in EUR, excluding VAT. Subscriptions are billed in advance and renew automatically each period until cancelled.
All payments are processed by Paddle as Merchant of Record. Paddle collects payment, issues invoices and calculates and remits any applicable VAT, GST or sales tax. Your statutory rights in respect of the transaction, and Paddle’s handling of chargebacks, tax refunds and payment methods, are set out in the Paddle Buyer Terms.
You may cancel your subscription at any time, effective at the end of your current billing period, through the Paddle buyer portal linked in your purchase confirmation email or by contacting us. Refunds are governed by our Refund Policy, which forms part of these Terms.
To provide the Service, you authorise us to access your Shopify store data (including product, variant, pricing, inventory and collection data) and, where you choose to connect it, your Google Ads performance data. You retain all rights in your data. We process it only to operate and provide the Service to you, as described in our Privacy Policy.
Your use of Shopify, Google Merchant Center and Google Ads is subject to those third parties’ own terms and policies. You are responsible for ensuring your product data, feeds and advertising comply with the applicable Google and Shopify policies. We are not responsible for the acts, policies or availability of these third-party platforms, including any disapprovals, suspensions or account actions they may take.
You agree not to: (a) use the Service for any unlawful, infringing or fraudulent purpose; (b) submit content or product data that is illegal, infringes third-party rights, or violates Google or Shopify policies; (c) attempt to gain unauthorised access to, disrupt, reverse engineer, or overload the Service or its infrastructure; (d) resell, sublicense or provide the Service to third parties except as expressly permitted; or (e) use the Service to transmit malware or to scrape or harvest data unlawfully.
The Service, including its software, interfaces, and content (excluding your data), is owned by Acode LLC or its licensors and is protected by intellectual property laws. We grant you a limited, non-exclusive, non-transferable, revocable right to access and use the Service during your subscription, solely for your own business. No other rights are granted.
We aim to keep the Service available and reliable, but we do not guarantee uninterrupted or error-free operation. We may perform maintenance, and availability may be affected by factors outside our control, including third-party platforms and networks. Support is provided by email at [email protected]; priority support is included with the Pro tier. Billing and payment queries are handled by Paddle.
To the fullest extent permitted by law, the Service is provided “as is” and “as available”, without warranties of any kind, whether express, implied or statutory, including any implied warranties of merchantability, fitness for a particular purpose, or non-infringement. We do not warrant any particular advertising outcome, ranking, approval, traffic, or revenue result.
To the fullest extent permitted by law, Acode will not be liable for any indirect, incidental, special, consequential or punitive damages, or for any loss of profits, revenue, sales, goodwill, or data, arising out of or relating to the Service. Our total aggregate liability arising out of or relating to these Terms or the Service will not exceed the amounts you paid for the Service in the three (3) months preceding the event giving rise to the claim. Nothing in these Terms excludes or limits liability that cannot be excluded or limited under applicable law.
You agree to indemnify and hold harmless Acode from any claims, losses, liabilities and expenses (including reasonable legal fees) arising from your data, your use of the Service, or your breach of these Terms or of any Google or Shopify policy.
These Terms apply for as long as you use the Service. We may suspend or terminate your access if you materially breach these Terms, if required by law or a payment partner, or if a connected platform withdraws access we rely on to provide the Service. On termination, your right to use the Service ends. Sections that by their nature should survive (including intellectual property, disclaimers, limitation of liability and indemnity) will survive.
We may update these Terms from time to time. If we make material changes, we will notify you by email or through the Service. Changes take effect from the date stated in the notice. Continued use of the Service after that date constitutes acceptance.
These Terms are governed by the laws of the Republic of Armenia, without regard to conflict-of-law principles, and the courts of Yerevan, Armenia will have jurisdiction, except where mandatory consumer law in your country of residence provides otherwise. Your purchase transaction with Paddle is separately governed by the Paddle Buyer Terms.
